Zeity is a service of the sole proprietorship Moon Regents, owner Ayhan Sakarya (hereinafter "Zeity"). These Business Terms of Service govern your use of the Zeity platform as a business owner (hereinafter "Service"). By creating a business account or a booking page, you agree to be bound by these Business Terms. If you do not agree with any part of these Business Terms, you may not use the Service as a business owner. Your clients access and use your booking page under Zeity's separate Terms of Service (https://zeity.me/terms). The German version of these terms is the authoritative version.
Zeity is an online appointment booking platform for businesses. You, as a business owner, create an account to set up a shareable booking page where your clients can book appointments without creating an account of their own. Scope of Services and Availability Zeity provides the customer with the platform functions described in the selected plan and on the pricing page as software-as-a-service via the internet. The specific scope of functions depends on the selected plan. Zeity provides the service with customary market diligence and endeavours to achieve a high availability of the platform. Excluded from availability are periods of scheduled maintenance, which Zeity announces in advance where possible, as well as disruptions due to circumstances outside Zeity's sphere of influence (in particular failures of upstream providers or force majeure). The customer's statutory rights in respect of defects otherwise remain unaffected. Strict liability for defects already present when the contract was concluded (Β§ 536a (1) alt. 1 BGB) is excluded; the liability provision in section 10 remains unaffected. Zeity acts as a technical platform that enables you to offer bookings and, where enabled, to collect payments from your clients. Zeity is not a party to the contract between you and your client, is not the provider of the services you offer, and does not act as a broker, agent, or employer on your behalf. Where online payments are enabled, the payment is processed via the payment provider Stripe; Zeity may act as the recipient of the payment and forwards the amount to you less the service fee, but is not the seller of the underlying service.
To create a business account you must be at least 18 years old and have the legal capacity to enter into a binding contract. Business accounts may only be created and used for genuine business purposes. You are responsible for: β’ Providing accurate, current, and complete registration information and keeping it up to date β’ Maintaining the confidentiality of your login credentials and all activity under your account β’ Any employees or other persons you invite and grant dashboard access β you remain responsible for their use of the Service and for the roles and permissions you assign Notify us immediately at info@zeity.me if you suspect unauthorised use of your account. We may refuse, suspend, or terminate accounts that contain false information or are used in breach of these terms. These terms are addressed to entrepreneurs within the meaning of Β§ 14 BGB. By concluding the contract, the customer confirms that they are acting in the exercise of their commercial or independent professional activity. A contract with consumers is excluded. Where mandatory consumer protection provisions apply in an individual case, those provisions take precedence over these terms.
Zeity offers free and paid subscription plans for business owners. The features and prices of each plan are shown on our pricing page and in your account. The prices stated are final prices. No value added tax is charged or shown separately, due to the application of the small-business regulation under Β§ 19 UStG. β’ Billing and renewal: Paid subscriptions are billed in advance on a monthly recurring basis. After the end of the respective billing period, the subscription renews automatically for an indefinite term unless cancelled beforehand. Once the renewal has begun, the customer may cancel the contract at any time with effect from the end of the current billing period. β’ Changes during a current billing period: If, during a current billing period, you make a change that increases the fee (in particular adding a further business or switching to a higher plan), the change takes effect immediately. The pro-rated amount attributable to the remainder of the current billing period is not collected immediately but is billed with your next invoice; your next invoice may therefore be higher than the monthly base price. Changes that reduce the fee (in particular archiving a business or switching to a lower plan) also take effect immediately; the pro-rated amount for the remainder of the current billing period is set off as a credit against your next invoice and is not paid out. If the subscription ends before such a credit could be set off against an invoice, it remains as credit on your customer account. It is not disbursed. If the subscription ends through deletion of the account or your last remaining active business, the fate of this credit is instead governed by Section 9. β’ Trials: Where a free trial is offered, it ends automatically when the trial period expires. There is no automatic transition into a paid subscription and no payment becomes due. After the trial period ends, the account is downgraded to the free plan. A paid subscription is only concluded if the customer expressly enters into one. After the downgrade, only the features and usage limits of the free plan are available; paid features can no longer be used. Your data is retained, but may be accessible only to the extent provided by the free plan. β’ Cancellation: You may cancel your subscription at any time using the "Cancel subscription" button in your account settings, or in text form (Textform) by email to info@zeity.me. Cancellation takes effect at the end of the current billing period, and you retain access until then. We do not refund partial billing periods, except where required by law. β’ Additional businesses: If you operate more than one business under your account, additional-business charges apply as shown in your billing settings. The timing of such charges is governed by the bullet βChanges during a current billing periodβ above. β’ Price changes: Zeity is entitled to adjust the fees for paid subscriptions in order to reflect changes in the costs relevant to the provision of the service (in particular costs for hosting, payment processing, support and personnel, as well as statutory levies). In assessing this, Zeity takes increases and decreases in costs into account equally; decreased costs are to be passed on in favour of the customer to the same extent as increased costs would justify an increase. Zeity notifies the customer of an adjustment in text form at least six weeks before it takes effect. The customer may terminate the contract up until the adjustment takes effect, with effect from the date it comes into force; Zeity will point this out in the notification. If the customer does not exercise this right of termination, the adjustment takes effect at the notified time. β’ Non-payment: If the customer is in default of payment, the statutory provisions apply (Β§Β§ 286, 288 BGB). Zeity is entitled to suspend access to paid features after prior notice and after setting a reasonable deadline, if the customer fails to pay despite the payment being due. The customer reserves the right to prove that the damage caused by the default was lower, and Zeity reserves the right to prove that it was higher. Subscription fees are separate from the platform service fee charged on client payments (see 'Payments and Fees').
This section applies to business owners who enable online payments through Zeity's payment provider (Stripe). β’ Zeity charges a platform service fee on each payment processed through the Service. The fee applicable to your plan β a percentage plus a fixed amount per transaction β is shown in your payment settings and may be updated from time to time. β’ The service fee is deducted automatically from each payment before the remaining amount is paid out to you. It covers use of the platform and the associated payment-processing costs. β’ The service fee is non-refundable. If a booking is cancelled or refunded in whole or in part β whether by you or by the client, and regardless of your cancellation policy β the service fee already applied to that payment is retained and is not returned. β’ Any refund to the client is determined by your own cancellation and refund policy, which you configure in your settings, unless mandatory statutory provisions (such as a client's right of withdrawal) or the settings you have chosen within the Service provide for a more extensive refund. The refund is separate from Zeity's service fee. β’ Payments are processed by Stripe and are additionally subject to Stripe's terms.
When using Zeity, you agree not to: β’ Use the Service for any unlawful purpose or to offer services that are illegal or that you are not licensed or qualified to provide β’ Upload or publish content that is unlawful, misleading, infringing, defamatory, or that violates the rights of others β’ Send spam or unsolicited communications, or misuse the booking features β’ Attempt to gain unauthorised access to the Service, other accounts, or our systems, or interfere with or disrupt the Service β’ Circumvent or disable security or usage limits, or reverse-engineer the Service except as permitted by law β’ Use the Service to process payments for anything other than the bookings offered through your booking page β’ Use bots, crawlers, scrapers, or other automated means to access, monitor, copy, or extract data or content from the Service, or systematically retrieve data to build or populate a database You are solely responsible for the content you publish (including your business information, service descriptions, and notes) and for ensuring it is accurate and lawful. We may remove content or suspend accounts that breach this section.
Zeity, including its software, design, logos, and trademarks, is owned by Moon Regents and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these terms; no other rights are granted. You retain ownership of the content you provide (such as your business name, logo, and service details). You grant Zeity a non-exclusive licence to host, display, and process that content as necessary to operate the Service and your booking page. You are responsible for ensuring you hold the rights to the content you upload.
Your use of Zeity is also governed by our Privacy Policy (https://zeity.me/privacy), which explains how we process personal data as a controller in our own right. Where Zeity processes the personal data of your clients on your behalf (for example client names, contact details, and appointment history), our Data Processing Agreement (available at https://zeity.me/dpa) applies. It forms part of these Business Terms and is the authoritative agreement under Article 28 GDPR governing that processing. In case of any conflict between these Business Terms and the Data Processing Agreement regarding the processing of your clients' personal data, the Data Processing Agreement prevails. As a business owner, you are responsible for having a lawful basis to process your clients' personal data and for informing your clients about that processing.
The customer shall indemnify Zeity against third-party claims asserted against Zeity on the basis of an unlawful use of the platform attributable to the customer or a breach of these terms by the customer, insofar as the customer is at fault. Any contributory fault on the part of Zeity shall be taken into account in accordance with Β§ 254 BGB. The indemnity does not apply insofar as Zeity itself intentionally or through gross negligence caused the claim.
You may stop using the Service and delete your account at any time in your account settings or by contacting us. If you delete your account β or, where doing so leaves no active business remaining on your account, your last remaining active business β an active paid subscription then in effect ends with immediate effect; your access to the deleted account or business ends at the same time. The portion of an already-paid billing period that is unused at the time of deletion is forfeited without compensation; no refund is given. If your account is deleted as well, any credit balance then held on your customer account (Section 3) is likewise forfeited; no payout is made in that respect either. If your account instead continues to exist, any such credit balance is preserved and is set off against a future invoice on your account. The customer reserves the right to prove that Zeity saved expenses to a material extent as a result of the early termination; in that case, the amount saved is credited against the forfeiture. Correspondingly, amounts already owed by you at that time but not yet invoiced are likewise waived. Any invoice amount still outstanding at that time remains payable. If you would instead like to make full use of the billing period you have already paid for, first cancel your subscription using the "Cancel subscription" button in your account settings (Section 3); you then retain access until the end of the already-paid billing period and may delete your account afterwards at no further cost. We may suspend or terminate your access, with notice where appropriate, if: (a) you materially breach these terms; (b) you fail to pay subscription fees when due; (c) your use poses a security, legal, or reputational risk; or (d) we are required to do so by law. On termination, your right to use the Service ends and we delete or anonymise your data in line with our Privacy Policy and applicable retention obligations. Sections that by their nature should survive termination (including Payments and Fees, Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) remain in effect.
Moon Regents is liable without limitation for damage resulting from injury to life, body, or health caused by an intentional or negligent breach of duty by Moon Regents, and for any loss or damage caused by intent or gross negligence. For the breach of a material contractual obligation (Kardinalpflicht) β an obligation whose performance is essential to the proper execution of the contract and on which you may reasonably rely β Moon Regents' liability for ordinary negligence is limited to the foreseeable damage typical for this type of contract. Beyond the cases described above, Moon Regents is not liable for ordinary negligence. This applies in particular to technical failures or downtime of the Service, to inaccurate or outdated appointment information, and to third-party services used by the platform. The Service is provided without any guarantee of uninterrupted or error-free availability. For the loss of data, Zeity is liable within the scope of the above provisions only for the effort that would have been necessary to restore the data had the customer carried out proper and regular data backups. In the event of contradictions between this section 10 and section 1, the liability provisions of this section 10 take precedence. This limitation does not affect any statutory liability that cannot be limited by agreement, such as liability under the Product Liability Act (Produkthaftungsgesetz).
Zeity may further develop and adapt the platform and the scope of services, in particular insofar as this is necessary for legal, security-related or technical reasons, or does not materially restrict functionality for the customer. Zeity will inform the customer at least six weeks in advance in text form of changes that alter the contractual scope of services to the customer's disadvantage to more than an insignificant extent; in this case the customer may terminate the contract extraordinarily up until the change takes effect. Consent to material changes is not deemed given by mere continued use.
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the customer is exceptionally a consumer, this choice of law does not deprive them of the protection afforded by the mandatory provisions of the law of their habitual residence (Art. 6 Rome I Regulation). If the customer is a merchant (Kaufmann), a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Krefeld. Otherwise, the statutory places of jurisdiction apply.
β’ Severability: If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in full force. β’ Entire agreement: These terms, together with our Privacy Policy, form the entire agreement between you and Moon Regents regarding the Service and supersede prior agreements on its subject matter. β’ Assignment: You may not assign or transfer your rights under these terms without our consent. We may assign these terms to an affiliate or successor. β’ No waiver: Our failure to enforce a provision is not a waiver of our right to enforce it later. β’ Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control. Mandatory statutory rights of consumers remain unaffected by these terms.
